These terms set the rules for using Proposa, including accounts, subscriptions, user content, AI-assisted features, and acceptable use.

1. Agreement and operator

These Terms form an agreement between you and Manuel De Ceglie, the Italy-based operator of Proposa. Questions and requests for the operator's full legal and postal details can be sent to manuel@getproposa.app.

By creating an account or using Proposa, you agree to these Terms. If you use Proposa for an organisation, you confirm that you can bind that organisation. You must be legally able to enter this agreement.

2. The service

Proposa helps professionals create, publish, share, and track proposals in a client workspace. Features may include PDF generation, client messages and decisions, documents, billing tools, and optional AI-assisted drafting or extraction.

Proposa is a workflow tool, not legal, tax, accounting, or professional advice. You remain responsible for reviewing every proposal, price, term, AI output, client link, and business decision before relying on or publishing it.

3. Accounts and security

  • Provide accurate account and billing information and keep it current.
  • Protect login methods and promptly report suspected unauthorised access.
  • Use Proposa only for yourself or an organisation that has authorised you.
  • You are responsible for activity performed through your account unless caused by Proposa's failure to apply reasonable security measures.

4. Your content and client data

You retain ownership of content you submit. You grant Proposa a limited, non-exclusive licence to host, copy, process, display, transmit, and generate files from that content only as needed to provide, secure, support, and improve the requested service.

You confirm that you have the rights and lawful basis needed to upload and use the content, including personal data about clients. Do not upload secrets, card details, special-category data, or material that is unnecessary for a proposal.

A published client link is intended for the recipient you choose. You are responsible for sharing it through an appropriate channel and for revoking or replacing access when necessary.

5. AI-assisted features

AI features may send the text, files, instructions, and relevant workspace context you select to Google Gemini for processing. Output can be incomplete, inaccurate, or unsuitable.

AI output is always a draft. Proposa does not guarantee factual, legal, pricing, or commercial accuracy, and the service must not be used to make automated decisions with legal or similarly significant effects about a person.

6. Trials, prices, renewals, and cancellation

The plan, trial length, price, taxes, billing interval, and any one-time or recurring nature of a purchase are shown before checkout. Payments are processed by Stripe. You authorise the displayed charge when you complete checkout.

A recurring plan renews for the interval shown until cancelled. You can manage an eligible subscription from Settings or the Stripe billing portal. Cancellation stops future renewal and access continues as shown in the billing flow. Refunds are provided where required by law or expressly stated at purchase; otherwise charges already incurred are not automatically refundable.

Proposa may correct an obvious pricing error before accepting a purchase. Material plan changes will be communicated in advance where required.

7. Acceptable use

  • Do not break the law, infringe rights, deceive recipients, or send unlawful or abusive material.
  • Do not attempt to bypass authentication, access another workspace, probe security, or interfere with the service.
  • Do not upload malware, scrape the service at unreasonable scale, or use it to build a competing dataset or service.
  • Do not use client activity signals to harass, discriminate, or make prohibited automated decisions.
  • Do not represent AI-generated content as reviewed professional advice when it has not been reviewed.

8. Availability, changes, and suspension

Proposa may change, add, or remove features and may perform maintenance. The service is provided without a guaranteed uptime or support response time unless a separate written agreement says otherwise.

Access may be limited or suspended when reasonably necessary to protect users or the service, investigate abuse, comply with law, address non-payment, or prevent material harm. Where practical, Proposa will provide notice and an opportunity to resolve the issue.

9. Ending the agreement

You may stop using Proposa and request account deletion. Proposa may terminate the agreement for a material breach, unlawful use, prolonged non-payment, or where the service is discontinued, subject to applicable law.

Terms that by their nature should continue—including payment obligations, ownership, disclaimers, liability, and dispute provisions—survive termination.

10. Disclaimers and liability

To the extent permitted by law, Proposa is provided as available and without warranties that every feature will be uninterrupted, error-free, or suitable for a particular commercial result.

Proposa is not responsible for losses caused by your content, your business decisions, unreviewed AI output, recipients you choose, third-party services, or events beyond reasonable control. Nothing in these Terms excludes liability that cannot lawfully be excluded, including mandatory consumer rights where they apply.

11. Governing law and changes

These Terms are governed by Italian law. The courts of Italy have jurisdiction, without limiting any mandatory right of a consumer to use the courts or law of their country of residence.

The version and effective date identify the current Terms. Material changes will be notified through an appropriate channel where required. Continued use after the effective date of updated Terms means acceptance, except where law requires a different form of consent.
